Sell-Side M&A Advisory Case Study
Situation: A family owned, e-commerce business was seeking a full sale of the company.

Process: The company was taken to market with a traditional approach, targeting the broader e-commerce and private equity landscape for a buyer. Due to the company's cash flow profile, the initial process did not produce an offer in line with the owners' value expectations. As a result, the the company's primary competitor was brought into the process as the potential synergies provided for a higher valuation. During due diligence, a SALT expert was brought on to analyze the company's tax liability due to the Wayfair nexus ruling to determine how the final purchase agreement should be structured around this item. Despite efforts by the foreign-based parent company of the buyer to have a highly structured purchase price, an all cash at close deal was reached, with a holdback to cover the SALT liability.
